These Terms and Conditions (the “Terms”) govern your access to and use of www.realtechcap.com (the “Site”), operated by Real Tech Capital, LLC (“RTC,” “We,” or “Us”). By accessing or using the Site, you agree to these Terms and to our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Site.
1. Informational Purposes Only; No Offer
The Site is provided for general informational purposes only. Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security, fund interest, or other investment product, in any jurisdiction. RTC does not solicit or accept investments through the Site.
2. No Advice; No Relationship
Nothing on the Site is investment, legal, tax, accounting, or other professional advice. Your use of the Site, or any communication with us through it, does not create an advisory, fiduciary, client, or other relationship with RTC.
3. Portfolio and Other Information
References to companies on the Site are for illustrative purposes only, do not represent all investments made by RTC or its affiliates, and are not a recommendation of any company or an indication of future results. Information on the Site is provided as of the date it was posted, may not be current, and RTC has no obligation to update it. Company names, logos, and trademarks are the property of their respective owners, and their appearance on the Site does not imply endorsement.
4. Submissions Policy
We generally do not accept unsolicited requests, proposals, business plans, applications, ideas, suggestions or other materials (collectively, “Submissions”).
However, in the event that any Submissions are submitted or offered to us, using the Site or otherwise, such Submissions (i) will not be treated as confidential and (ii) will become and remain RTC’s sole property, unless otherwise agreed in a signed writing with RTC. RTC will have the right to freely use, disclose, modify, copy, reproduce, publish, transmit, display, sublicense, translate, create derivative works from and distribute any Submissions in any medium and via any distribution, transmission or display method for any purpose whatsoever, commercial or otherwise. RTC will not owe you or any person compensation for any Submissions. Whether RTC will use any Submissions is entirely at RTC’s sole discretion.
5. Third-Party Websites
The Site contains links to websites operated by others, including Superior Studios, our portfolio companies, and forms hosted by third-party providers. Those websites are governed by their own terms and policies. RTC does not control and is not responsible for their content, availability, or practices, and a link does not imply endorsement.
6. Intellectual Property; Permitted Use
The Site and its content, including text, images, design, and the Real Tech Capital name and logo, are owned by or licensed to RTC and are protected by intellectual property laws. You may view the Site for your personal, non-commercial use. Any other copying, reproduction, distribution, or use requires RTC’s prior written consent.
7. Prohibited Conduct
You agree not to use the Site for any unlawful purpose; attempt to gain unauthorized access to the Site or its systems; interfere with or disrupt the Site; or use automated means to scrape or copy the Site’s content without our written permission.
8. Disclaimer of Warranties
THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. RTC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RTC AND ITS AFFILIATES, AND THEIR RESPECTIVE MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AND AGENTS, WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR ACCESS TO, USE OF, OR RELIANCE ON THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10. Indemnification
You agree to indemnify and hold harmless RTC and its affiliates from any claims, losses, and expenses, including reasonable attorneys’ fees, arising out of your violation of these Terms or your misuse of the Site.
11. Governing Law and Venue
These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction of those courts.
12. Changes to These Terms
We may modify these Terms at any time. When we do, we will update the date at the top of this page. Changes are effective when posted, and your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
13. General
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of it. These Terms and the Privacy Policy are the entire agreement between you and RTC regarding the Site.
